Customer (Taxpayer)
Any registered individual, business, or enterprise that creates an account on the FimePay platform and uses its services for e-invoicing and NRS compliance.
1. Definitions
In this Agreement, the following terms have the meanings set out below:
- "Platform" means the FimePay web application, API, and all associated services operated by FimeBag Limited.
- "Services" means e-invoice generation, NRS submission, PDF rendering, customer management, payment recording, and all features accessible through the Platform.
- "Taxpayer" or "Customer" means the registered user or organisation using the Platform.
- "NRS" means the Nigeria Revenue Service.
- "MBS" means the Manufacturer Business Specification standards applicable to NRS-compliant e-invoicing systems.
- "IRN" means Invoice Reference Number, the unique identifier assigned by NRS to each validated invoice.
- "Incident" means any unplanned interruption or degradation in the availability or quality of the Services.
- "Maintenance Window" means a scheduled period of service downtime communicated at least 48 hours in advance.
2. Acceptance of Terms
By creating an account on the FimePay Platform, you confirm that:
- You have read, understood, and agree to be bound by these Terms of Service and the Service Level Agreement contained herein.
- You are at least 18 years of age and have the legal authority to enter into this Agreement on behalf of yourself or your organisation.
- You accept responsibility for all activity that occurs under your account.
- You agree to keep your login credentials confidential and notify FimePay immediately of any unauthorised access.
If you do not agree to these terms, you must not use the FimePay Platform.
3. Description of Services
FimePay provides a NRS-compliant e-invoicing platform that enables Taxpayers to:
- Generate, sign, and issue electronic invoices in accordance with NRS MBS e-invoicing specifications.
- Submit invoices to NRS via the official NRS API and receive IRN confirmation.
- Manage customers, products, expenses, and financial records.
- Generate PDF and UBL-format invoice documents.
- Receive payments and issue payment receipts.
- Access developer APIs for system integration.
- Export financial reports and tax summaries.
FimePay acts as a System Integrator (SI) accredited to interface with the NRS e-invoicing infrastructure. The Platform does not constitute tax advice. Taxpayers remain solely responsible for the accuracy of invoice data submitted to NRS.
4. Service Level Agreement (SLA)
This SLA defines the standards FimeBag Limited commits to maintaining for the FimePay Platform in compliance with NRS MBS requirements.
4.1 Platform Availability

Uptime is calculated as: (Total minutes − Downtime minutes) / Total minutes × 100. Scheduled maintenance windows and NRS API outages are excluded from downtime calculations.
4.2 Response Time Standards

4.3 Incident Classification & Resolution

Incidents are reported via email to support@fimepay.com or by calling 09117770018. FimePay will acknowledge all reported incidents within the response time targets above and provide status updates at regular intervals until resolution.
4.4 Data Security Standards
- All data is encrypted in transit using TLS 1.2 or higher.
- Data at rest is encrypted using AES-256.
- JWT authentication uses RS256 signing with per-tenant key pairs.
- NRS API credentials are encrypted using AES-256-GCM before storage.
- All tenant data is logically isolated using Row-Level Security (RLS) in the database.
- Access logs are retained for a minimum of 12 months.
- Regular security assessments and vulnerability testing are conducted.
- No personally identifiable information (PII) is logged in application logs.
4.5 Data Retention & Backups
- Invoice and financial records are retained for a minimum of 7 years in accordance with Nigerian tax law.
- Database backups are performed daily with a 30-day retention period.
- Customers may request a full data export at any time via Settings → Data Export.
- Upon account termination, data is retained for 90 days before permanent deletion.
4.6 SLA Exclusions
The SLA commitments above do not apply to downtime caused by:
- Outages or errors in the NRS API, NRS portal, or NRS infrastructure.
- Force majeure events including natural disasters, government action, or national network outages.
- Scheduled maintenance communicated at least 48 hours in advance.
- Actions or omissions by the Customer, including incorrect API usage.
- Third-party service failures (payment gateways, email providers, cloud infrastructure).
5. Customer Obligations
As a Taxpayer using the FimePay Platform, you agree to:
- Provide accurate, complete, and up-to-date information when registering and creating invoices.
- Ensure all invoices submitted through FimePay accurately reflect genuine commercial transactions.
- Comply with all applicable Nigerian tax laws, NRS regulations, and MBS e-invoicing requirements.
- Not use the Platform for fraudulent, unlawful, or misleading purposes.
- Keep your TIN, CAC number, and business information current in your account settings.
- Notify FimePay promptly of any suspected security breach or unauthorised account access.
- Pay subscription fees (where applicable) in a timely manner.
6. Subscription & Billing
FimePay offers tiered subscription plans as displayed on the pricing page. By selecting a paid plan, you authorise FimePay to charge your payment method on the billing cycle selected.
- Subscriptions auto-renew unless cancelled before the renewal date.
- Refunds are not provided for partial periods except where required by applicable law.
- FimePay reserves the right to modify pricing with 30 days' written notice.
- Non-payment may result in service suspension after a 7-day grace period.
- Downgrading a plan takes effect at the start of the next billing cycle.
7. Intellectual Property
All content, software, trademarks, and intellectual property on the FimePay Platform are owned by or licensed to FimeBag Limited. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your business purposes in accordance with these Terms.
You retain ownership of all invoice data and business information you upload to the Platform. You grant FimeBag Limited a licence to process, store, and transmit such data solely for the purpose of delivering the Services.
8. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- FimeBag Limited's total liability to you in any 12-month period shall not exceed the total fees paid by you to FimePay in that same period.
- FimeBag Limited is not liable for indirect, incidental, consequential, or punitive damages.
- FimeBag Limited is not liable for NRS rejections, penalties, or assessments arising from incorrect invoice data provided by the Customer.
- FimeBag Limited is not liable for losses arising from third-party service failures, including NRS API outages.
9. Termination
Either party may terminate this Agreement:
- By the Customer at any time by closing their account via Settings → Account.
- By FimePay with 30 days' written notice.
- By FimePay immediately where the Customer breaches these Terms, engages in fraudulent activity, or violates applicable law.
Upon termination, your access to the Platform will cease. Invoice records will be retained for 90 days and are available for export during that period.
10. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Agreement shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
11. Amendments
FimeBag Limited reserves the right to update these Terms at any time. Changes will be notified to Customers via email and in-platform notification at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
